TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of wethemadres.com, any MADRES mobile application, customer portal, or other website, software, technology, or services that link to these Terms (collectively, the "Services"), offered by MADRES LLC ("MADRES," "we," "us," or "our").

By accessing or using the Services, creating an account, submitting an intake, purchasing a membership or other service, or clicking to accept these Terms, you agree to be legally bound by them. If you do not agree to these Terms, do not access or use the Services.

IMPORTANT: MADRES is not a healthcare provider, medical practice, pharmacy, or insurer. Medical care is provided by independent, licensed healthcare professionals and/or medical practices. These Terms contain important provisions concerning medical services, payment obligations, limitations of liability, dispute resolution, and arbitration. Please read them carefully.


1. ELIGIBILITY AND AVAILABILITY

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Services.

The clinical and prescription services facilitated through MADRES are available only to individuals who are physically located in a state or jurisdiction where the applicable healthcare provider, medical practice, pharmacy, and other applicable service providers are authorized to provide the applicable services.

Being located in a state in which MADRES's website is accessible does not mean that all Services are available in that state.

You are responsible for ensuring that you are physically located in an eligible jurisdiction when receiving telehealth services. You may be required to verify your identity, age, location, or other eligibility information before receiving certain Services.

MADRES reserves the right to limit, suspend, or discontinue availability of any Service, product, treatment, provider, pharmacy, or feature in any state or jurisdiction at any time to the extent permitted by applicable law.


2. MADRES IS A TECHNOLOGY AND ADMINISTRATIVE PLATFORM

MADRES LLC is not a healthcare provider, medical practice, pharmacy, laboratory, or insurer.

MADRES provides technology, administrative, customer-support, payment, scheduling, educational, and other non-clinical services that may facilitate your connection with independent healthcare providers, medical practices, pharmacies, laboratories, and other third-party service providers.

MADRES does not:

  • practice medicine;
  • diagnose medical conditions;
  • determine whether a medication or treatment is medically appropriate;
  • prescribe medications;
  • determine dosages;
  • provide medical advice;
  • control or direct the independent professional judgment of healthcare providers;
  • dispense medications; or
  • guarantee that you will receive any particular treatment, prescription, medication, dosage, provider, or outcome.

Any medical evaluation, diagnosis, treatment recommendation, prescription, clinical decision, or other professional healthcare service is provided solely by the applicable licensed healthcare professional or medical practice based on that provider's independent professional judgment.

You are not entering into a physician-patient relationship with MADRES by using the Services.

You may, however, enter into a separate physician-patient relationship with an independent healthcare provider through the Services. That relationship is between you and the applicable provider and/or medical practice.

MADRES does not control or interfere with the practice of medicine by independent providers.


3. NO GUARANTEE OF PRESCRIPTION OR TREATMENT

Completion of an intake, health questionnaire, consultation request, payment, membership enrollment, or order request does not guarantee that you will receive a prescription or any particular treatment.

A provider may determine, in their independent professional judgment, that:

  • a requested medication is not medically appropriate;
  • a different treatment is more appropriate;
  • additional information or testing is required;
  • an in-person evaluation is necessary;
  • you are not clinically eligible for a requested treatment; or
  • telehealth is not appropriate for your particular circumstances.

MADRES does not guarantee that a provider will prescribe any particular medication, dosage, quantity, refill, compounded medication, or other treatment.

Treatment decisions are made by the applicable healthcare provider, not MADRES.


4. TELEHEALTH AND MEDICAL EMERGENCIES

Telehealth has inherent limitations and is not appropriate for every medical condition or situation.

DO NOT USE THE SERVICES FOR A MEDICAL EMERGENCY.

If you believe you are experiencing a medical emergency, call 911 or seek immediate in-person emergency medical care.

The Services are not a substitute for emergency services, an in-person physical examination when medically necessary, or ongoing care from your primary care physician or other healthcare professionals.

A provider may determine that an in-person evaluation, laboratory testing, imaging, emergency care, or another form of care is necessary.


5. INDEPENDENT PROVIDERS, MEDICAL PRACTICES, AND PHARMACIES

MADRES may facilitate access to independent healthcare providers, medical practices, pharmacies, laboratories, fulfillment providers, payment processors, and other third parties (collectively, "Third-Party Providers").

Third-Party Providers are independent entities and are not employees, agents, partners, joint venturers, or representatives of MADRES unless expressly stated otherwise in a separate written agreement.

Each Third-Party Provider is solely responsible for the professional services it provides.

Healthcare providers are solely responsible for:

  • medical evaluations;
  • diagnoses;
  • treatment plans;
  • prescribing decisions;
  • medication selection and dosage;
  • medical advice;
  • clinical communications; and
  • other professional healthcare services.

Pharmacies are solely responsible for pharmacy services, including dispensing, labeling, packaging, medication preparation, counseling, and fulfillment, as applicable.

MADRES does not guarantee the availability, pricing, fulfillment, shipping time, inventory, dispensing, or quality of services provided by a pharmacy or other Third-Party Provider, except as otherwise required by applicable law.


6. PRESCRIPTION AND COMPOUNDED MEDICATIONS

Certain products available through the Services require a valid prescription.

Prescription products will only be provided when a licensed healthcare provider determines that the product is appropriate and issues a valid prescription.

Certain medications may be compounded by a licensed compounding pharmacy pursuant to a patient-specific prescription.

Compounded medications are not FDA-approved or evaluated by the FDA for safety, effectiveness, or quality in the same manner as FDA-approved drugs.

Medication availability, formulation, dosage, strength, quantity, and fulfillment are subject to the prescribing provider's clinical judgment, applicable law, and pharmacy availability.

You may request that a prescription be sent to another pharmacy where permitted by law and by the applicable provider. MADRES cannot guarantee that another pharmacy will accept, stock, compound, or fill a particular prescription.


7. ACCOUNTS AND REGISTRATION

Certain Services require you to create an account.

You agree to provide information that is accurate, complete, and current and to promptly update information when it changes.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring through your account, except to the extent caused by MADRES's own breach of applicable law.

You agree to notify MADRES promptly if you believe your account has been accessed without authorization.

You may not:

  • create an account using another person's identity;
  • create multiple accounts for deceptive purposes;
  • provide false medical or personal information;
  • share your account credentials with another person; or
  • use another person's account.

MADRES reserves the right to suspend or terminate accounts where permitted by law if we reasonably believe that an account is being used fraudulently, unlawfully, or in violation of these Terms.


8. YOUR HEALTH INFORMATION AND RESPONSIBILITIES

You agree to provide complete and accurate information to MADRES and to the healthcare providers involved in your care.

This includes information concerning your:

  • medical history;
  • current medications;
  • allergies;
  • diagnoses;
  • symptoms;
  • laboratory results;
  • prior treatments; and
  • other information reasonably requested for purposes of evaluating or providing Services.

You are responsible for the accuracy and completeness of information you provide.

Providing incomplete, inaccurate, misleading, or outdated information may affect the safety and appropriateness of your care.

You should promptly notify your healthcare provider of any material change in your health or medications.


9. MEMBERSHIPS, SUBSCRIPTIONS, AND BILLING

MADRES may offer memberships, subscriptions, consultations, treatment programs, products, or other services for purchase.

Current pricing, billing frequency, included services, and applicable terms will be disclosed at the time of enrollment or purchase.

Automatic Renewal

If you enroll in an automatically renewing membership or subscription:

  1. you authorize MADRES or its payment processor to charge your selected payment method on a recurring basis;
  2. the applicable price and billing frequency will be disclosed before you enroll;
  3. your subscription will continue until canceled;
  4. cancellation instructions will be made available through your account or another reasonable mechanism; and
  5. cancellation will take effect in accordance with the cancellation terms disclosed at enrollment and applicable law.

Where required by law, MADRES will provide renewal notices, price-change notices, or other disclosures required by applicable automatic-renewal laws.

You are responsible for keeping your payment information current.

If a payment fails, MADRES may retry the payment, suspend applicable Services, or terminate the applicable subscription, subject to applicable law.


10. INTRODUCTORY PRICING AND PROMOTIONAL OFFERS

MADRES may offer introductory prices, promotional pricing, discounts, credits, or other incentives.

Unless expressly stated otherwise:

  • promotional pricing applies only for the period specified at enrollment;
  • promotional pricing may automatically convert to the then-current standard price;
  • promotions may be limited to eligible customers;
  • promotions may not be combined;
  • MADRES may discontinue or modify a promotion as permitted by law; and
  • eligibility may be determined on a case-by-case basis.

The specific terms presented at checkout control any promotional offer.


11. CANCELLATION AND REFUNDS

You may cancel your membership or subscription using the cancellation mechanism provided through the Services or by contacting MADRES customer support.

Cancellation generally prevents future recurring charges but does not automatically entitle you to a refund for amounts already charged.

Except as otherwise required by law or expressly stated in a refund policy:

  • membership and subscription fees already incurred are non-refundable;
  • consultation or administrative fees may be non-refundable once the applicable service has been provided;
  • prescription medications and pharmaceutical products generally cannot be returned;
  • shipping and fulfillment charges may be non-refundable; and
  • cancellation does not necessarily cancel an order that has already been submitted to a pharmacy.

If a provider determines that a requested treatment is not medically appropriate, the applicable refund treatment will be governed by the refund policy presented to you at checkout or enrollment.

The specific refund policy applicable to your purchase is incorporated into these Terms.


12. MEDICATION AND PHARMACY CHARGES

Unless expressly stated otherwise, medication and pharmacy charges are separate from MADRES membership or platform fees.

Medication prices may vary based on:

  • medication;
  • formulation;
  • dosage;
  • quantity;
  • pharmacy;
  • shipping;
  • location; and
  • other factors.

MADRES will disclose applicable charges before charging you to the extent required by law.

MADRES is not responsible for pricing decisions independently made by pharmacies or other Third-Party Providers.


13. ELECTRONIC COMMUNICATIONS AND CONSENT

By creating an account or using the Services, you consent to receive electronic communications from MADRES concerning your account and Services.

These communications may include:

  • account notifications;
  • appointment information;
  • provider communications;
  • prescription updates;
  • pharmacy communications;
  • shipping notifications;
  • billing notices;
  • security alerts;
  • legal notices; and
  • other service-related communications.

You may not opt out of communications that are necessary to provide the Services or comply with applicable law.

Marketing communications will be handled in accordance with applicable law and will include legally required opt-out mechanisms.

You may incur messaging or data charges from your mobile carrier.


14. PRIVACY AND HEALTH INFORMATION

Your use of the Services is also subject to the MADRES Privacy Policy, which is incorporated into these Terms by reference.

MADRES may collect, use, disclose, and otherwise process personal information and health-related information as described in the Privacy Policy and as permitted or required by applicable law.

Depending on the Services involved and the parties providing your care, different privacy laws, notices, and contractual arrangements may apply to information handled by MADRES, healthcare providers, medical practices, pharmacies, laboratories, and other Third-Party Providers.

Your healthcare provider or medical practice may separately provide a Notice of Privacy Practices or other privacy notice governing information maintained as part of your clinical record.

Nothing in these Terms limits any rights you have under applicable privacy or health-information laws.


15. THIRD-PARTY SERVICES

The Services may rely on third parties for technology, hosting, payment processing, identity verification, communications, scheduling, customer support, shipping, pharmacy fulfillment, laboratory services, analytics, fraud prevention, and other operational functions.

MADRES may also provide links to third-party websites or services.

Third-party services may be subject to separate terms and privacy policies.

MADRES does not control third-party websites or services and is not responsible for their acts or omissions except to the extent otherwise required by law.


16. ARTIFICIAL INTELLIGENCE AND AUTOMATED TECHNOLOGY

MADRES may use automated technologies, including artificial intelligence tools, for non-clinical operational purposes such as customer support, scheduling, fraud prevention, security, administrative processing, quality assurance, and service improvement.

Any such technology is not a healthcare provider and does not replace the professional judgment of a licensed healthcare provider.

MADRES will not represent an automated system as a physician or other licensed healthcare professional.

You should not rely on automated outputs for diagnosis, treatment decisions, medication decisions, or emergency medical care.

Any use of AI or automated technology involving personal or health information will be subject to applicable law and the MADRES Privacy Policy.


17. INTELLECTUAL PROPERTY

The Services and all related content, including:

  • the MADRES name;
  • MADRES logos and trademarks;
  • product names;
  • designs;
  • graphics;
  • photographs;
  • text;
  • software;
  • user interfaces;
  • videos;
  • illustrations; and
  • other materials

are owned by MADRES or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, MADRES grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services solely for your personal, non-commercial use.

You may not copy, reproduce, modify, distribute, sell, license, reverse engineer, scrape, frame, or create derivative works from the Services without MADRES's prior written permission.


18. PROHIBITED CONDUCT

You may not use the Services:

  • for an unlawful purpose;
  • to commit fraud;
  • to impersonate another person;
  • to provide false information;
  • to obtain prescription medications through deception;
  • to interfere with the Services;
  • to gain unauthorized access to accounts or systems;
  • to introduce malware or malicious code;
  • to scrape or harvest data;
  • to reverse engineer the Services;
  • to infringe another party's intellectual-property rights;
  • to transmit unlawful, threatening, defamatory, or abusive material; or
  • in any manner that violates applicable law.

MADRES may suspend or terminate access to the Services where reasonably necessary to protect MADRES, its users, providers, pharmacies, systems, or other parties.


19. USER CONTENT AND FEEDBACK

If you voluntarily submit non-health-related feedback, suggestions, reviews, or other content to MADRES, you grant MADRES a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content for purposes of operating, improving, and promoting the Services.

This provision does not grant MADRES ownership of your medical records or authorize MADRES to use protected health information for marketing purposes except as permitted by applicable law and your applicable privacy notices or authorizations.

You represent that you have the necessary rights to submit any content you provide.


20. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

MADRES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY.

MADRES does not warrant that:

  • the Services will always be available;
  • the Services will be uninterrupted or error-free;
  • information on the Services will always be complete or accurate;
  • any particular provider will be available;
  • any medication will be available;
  • a provider will prescribe a requested treatment;
  • a pharmacy will fulfill a prescription within a particular timeframe; or
  • any treatment will produce a particular medical result.

MADRES DOES NOT MAKE MEDICAL REPRESENTATIONS OR WARRANTIES AND DOES NOT GUARANTEE ANY PARTICULAR HEALTH OUTCOME.

Nothing in these Terms excludes any warranty or legal right that cannot lawfully be excluded.


21. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MADRES AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

To the maximum extent permitted by applicable law, MADRES shall not be liable for damages arising from or relating to the independent professional services, medical decisions, diagnosis, treatment, prescribing, dispensing, compounding, shipping, or other acts or omissions of independent healthcare providers, medical practices, pharmacies, laboratories, or other Third-Party Providers.

EXCEPT AS OTHERWISE REQUIRED BY LAW, MADRES'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNTS YOU ACTUALLY PAID TO MADRES FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law, including liability that cannot legally be waived or limited.

This clause should be reviewed against MADRES's actual insurance program and corporate structure before publication. The $100/six-month formulation is modeled on the type of platform limitation used by current telehealth competitors, including Winona, but should not be treated as a determination that this exact cap is appropriate for MADRES.


22. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless MADRES and its members, managers, officers, directors, employees, contractors, affiliates, licensors, and service providers from and against third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising out of or relating to:

  1. your violation of these Terms;
  2. your violation of applicable law;
  3. your fraud, intentional misconduct, or misuse of the Services;
  4. information or content you knowingly provide that is false, misleading, or unlawful; or
  5. your infringement or violation of another person's intellectual-property, privacy, or other rights.

You will not be required to indemnify MADRES to the extent a claim is caused by MADRES's own gross negligence, willful misconduct, or other conduct for which indemnification cannot legally be required.


23. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for claims that qualify for small-claims court, claims seeking temporary or preliminary injunctive relief concerning intellectual property or unauthorized access to the Services, or claims that cannot legally be arbitrated, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration rather than in court.

The arbitration shall be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules.

You and MADRES agree that:

  • arbitration will be conducted on an individual basis;
  • neither party may participate in a class action or class-wide arbitration;
  • neither party will seek to have a dispute resolved as a class action;
  • the arbitrator may award the same individual remedies available in court to the extent permitted by law; and
  • the arbitrator, rather than a court, will determine the enforceability and interpretation of this arbitration provision, except where applicable law provides otherwise.

Informal Resolution

Before initiating arbitration, the party asserting a dispute must provide written notice describing the dispute and requested resolution.

The parties will attempt in good faith to resolve the dispute informally for at least thirty (30) days before arbitration is initiated, unless a shorter period is required by applicable law.

Arbitration Opt-Out

You may opt out of this arbitration agreement by sending written notice to [legal@wethemadres.com] within thirty (30) days after first accepting these Terms.

Your notice must include your name, email address, mailing address, and a clear statement that you are opting out of the arbitration provision.

Opting out of arbitration will not affect any other provision of these Terms.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND MADRES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, COLLECTIVE, OR PRIVATE-ATTORNEY-GENERAL ACTION.

This arbitration/class-waiver structure follows the general approach currently used by major telehealth platforms such as MIDI and Winona, including individual arbitration and class-action waivers.


24. GOVERNING LAW

These Terms and any dispute arising out of or relating to them shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent federal law or applicable mandatory consumer-protection law requires otherwise.

The foregoing does not prevent a consumer from exercising rights that cannot lawfully be waived under the laws of the state in which the consumer resides.


25. TERMINATION

You may stop using the Services at any time.

MADRES may suspend or terminate your access to some or all of the Services if:

  • you violate these Terms;
  • you engage in fraud or abuse;
  • continued access creates a legal or security risk;
  • a provider, medical practice, pharmacy, or other critical service relationship becomes unavailable;
  • providing the Services becomes commercially or operationally impracticable; or
  • termination is otherwise permitted by law.

Termination does not eliminate payment obligations incurred before termination or provisions that by their nature should survive termination, including provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

Termination of your MADRES account does not terminate any independent physician-patient relationship you may have with a healthcare provider.


26. CHANGES TO THESE TERMS

MADRES may modify these Terms from time to time.

If we make material changes, we will provide notice as required by applicable law, which may include posting the revised Terms on the Services, sending notice to the email address associated with your account, or obtaining renewed acceptance where legally required.

The revised Terms will become effective on the date stated in the updated Terms.

Your continued use of the Services after the effective date of revised Terms constitutes acceptance of those Terms to the extent permitted by law.


27. ELECTRONIC SIGNATURES

You agree that clicking an "I Agree," "Submit," "Purchase," "Enroll," or similar button, checking a box, electronically signing a document, or otherwise affirmatively accepting an electronic disclosure constitutes your electronic signature and agreement to the applicable terms.

You consent to receive contracts, disclosures, notices, and other records electronically.

You should retain copies of important electronic communications and agreements.


28. NO AGENCY OR PARTNERSHIP

Nothing in these Terms creates a partnership, joint venture, employment, fiduciary, franchise, or agency relationship between you and MADRES.

Neither you nor any third party may represent that it has authority to bind MADRES unless expressly authorized in writing.


29. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without MADRES's prior written consent.

MADRES may assign or transfer these Terms, in whole or in part, without your consent in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, or other transfer of all or substantially all of its business or assets, or to an affiliate.


30. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.

If a provision cannot be enforced as written, it shall be modified only to the minimum extent necessary to make it enforceable while preserving its intended effect.


31. NO WAIVER

MADRES's failure to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.


32. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, applicable Refund and Cancellation Policies, any applicable telehealth consent, and any additional terms expressly incorporated into these Terms, constitute the entire agreement between you and MADRES concerning your use of the Services.

If there is a conflict between these Terms and a separate written agreement specifically governing a particular Service, the more specific agreement will control solely with respect to that Service.
